These Terms and Conditions (the "Terms") constitute a binding agreement between you ("you" or "User") and FLA 239 Properties, LLC, a Delaware limited liability company ("FLA 239 Properties," "we," "us," or "our"), and govern your access to and use of the website located at fla239properties.com and any related subdomains, content, features, and services (collectively, the "Site").

Please read these Terms carefully. By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree with any portion of these Terms, you must not access or use the Site.

1. Eligibility

The Site is intended for use by individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding contract under applicable law. By using the Site, you represent and warrant that you meet these eligibility requirements and that your use of the Site does not violate any law, regulation, or contractual obligation to which you are subject.

Any actual rental, sale, vendor engagement, or other transaction with FLA 239 Properties is subject to a separate written agreement signed by an authorized representative of FLA 239 Properties, and the terms of that signed agreement shall control over any inconsistent information appearing on the Site.

"FLA 239 Properties," "FLA 239 Properties, LLC," and any associated logos, taglines, and design elements are trademarks or service marks of FLA 239 Properties, LLC. All other trademarks, service marks, and logos appearing on the Site are the property of their respective owners. Nothing on the Site should be construed as granting any license or right to use any trademark without the prior written consent of its owner.

8. User Submissions

When you submit a message, inquiry, or other communication to us through the Site (each, a "Submission"), you represent and warrant that the Submission is accurate, that you have the right to provide it, and that it does not infringe or violate the rights of any third party. You grant FLA 239 Properties a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, store, and process the Submission for the purposes of responding to your inquiry, operating the Site, and complying with our legal obligations. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLA 239 PROPERTIES, LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "FLA 239 PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR FREEDOM FROM ERROR, OMISSION, INTERRUPTION, VIRUS, OR OTHER HARMFUL COMPONENT.

WITHOUT LIMITING THE FOREGOING, THE FLA 239 PARTIES MAKE NO REPRESENTATION OR WARRANTY THAT (A) THE SITE WILL MEET YOUR REQUIREMENTS, (B) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (C) ANY INFORMATION OBTAINED THROUGH THE SITE IS ACCURATE, COMPLETE, OR RELIABLE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY OF THE FLA 239 PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY FLA 239 PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE FLA 239 PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00). THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the FLA 239 Parties from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any right of any third party, including any intellectual property, privacy, or proprietary right.

14. Termination and Suspension

We reserve the right, in our sole discretion and without prior notice or liability, to modify, suspend, restrict, or discontinue the Site (or any portion or feature of the Site), and to terminate or suspend your access to the Site, at any time and for any reason, including for any actual or suspected violation of these Terms. The provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, sections regarding intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous.

15. Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or to your access to or use of the Site (whether sounding in contract, tort, or otherwise), shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice-of-law or conflict-of-law provisions that would require the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

16. Dispute Resolution; Venue

You and FLA 239 Properties agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved through good-faith negotiations between the parties shall be brought exclusively in the state or federal courts located in the State of Delaware, and you irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue, including on the basis of forum non conveniens. Nothing in this Section shall limit either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

17. Severability; Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the parties' intent, and the remaining provisions of these Terms shall remain in full force and effect. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section shall be null and void. We may freely assign or transfer these Terms, in whole or in part, without restriction or notice to you. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by FLA 239 Properties on the Site, constitute the entire agreement between you and FLA 239 Properties with respect to your access to and use of the Site, and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, with respect to the same subject matter.

20. Changes to These Terms

We may revise these Terms from time to time, in our sole discretion. When we do, we will update the "Last Updated" date at the top of these Terms. Material changes will become effective upon posting unless we indicate otherwise. Your continued access to or use of the Site following the posting of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, you must discontinue your use of the Site.
